Going Global: Managing FX Volatility in the M&A Process

Global M&A weathered an unpredictable 2016 with a dramatic surge in activity in the fourth quarter. In just the final quarter, we saw 1,429 cross-border deals, exceeding $388bn in volume – totaling nearly 40% of the year’s total deal volume in a period of material global uncertainty. While political risks and increasingly complex regulatory developments are here to stay in 2017, volatile currency markets have made predictability of valuations, deal closing, and financial performance upon integration even more challenging for corporate acquirers. This session will address the various stages of cross border acquisitions and focus on how holistic risk management practices during the entire M&A process can help address common hurdles and complexities.

Ms. Breslin will cover a variety of topics and practical tips to consider in each stage of the M&A process:

  • Due Diligence – Understand the impact of foreign acquisition on your financial statements, as well as the existing risk profile and risk mitigation programs that may be in place
  • Transaction – Consider the financial risks in your equity and debt capital structure and some strategies to mitigate the impact of currency fluctuations
  • Integration – Review the complexities that can arise as you merge hedging objectives, programs, and risk management processes across organizations

About the speakers:

Amanda Breslin, Chatham Financial
Amanda Breslin, CFA, CTP leads Chatham’s Corporate Treasury Advisory group, advising corporate clients on risk management strategy, analysis, and execution with respect to interest rate, currency, and commodities exposures. During her tenure at Chatham, Amanda has developed broad hedging experience advising corporate clients on complex FX hedging strategies, and advising real estate clients on issues pertaining to REIT structures and in navigating the process of collateral substitutions. Prior to joining Chatham, Amanda was an officer in the Army serving in both Germany and Afghanistan.
Amanda received her MBA from The Wharton School at the University of Pennsylvania and a Masters in International Relations from the University of Oklahoma. She also holds a BS in Business Administration from Cal Poly, San Luis Obispo, and has earned the designations of Chartered Financial Analyst (CFA) and Certified Treasury Professional (CTP).

Kevin O'Neil, SWIFT
As a Regional Account Manager, Kevin specializes in working with companies to streamline their payment processes and the application of SWIFT products and services. He joined SWIFT in 2014 after having spent over 20 years in Project Management, Product Management and Product Development roles for JPMorgan Chase in New York, Tokyo, and London and HSBC in New York.
